1. Introduction


Welcome to the Tall Oak Advisors Affiliate Program! These terms govern your participation in our affiliate program. By signing up, you agree to abide by these terms, including tracking, payouts, and your responsibilities as an affiliate.



2. Eligibility


Participation is open to individuals or businesses with audiences relevant to eCommerce, bookkeeping, and tax services. Affiliates excluded from participation include:

  • Coupon sites.

  • Websites promoting inappropriate, illegal, or fraudulent content.





3. Referral Tracking and Cookie Duration


Referrals are tracked via unique affiliate links provided upon approval. The cookie duration for tracking is 30 days, meaning referrals will be credited if a client signs up within 30 days of clicking your link.

  • First Referrer Policy: Affiliate credit is awarded to the first referrer of the customer, assuming the referral occurs within the cookie window.

  • Referrals originating outside of these links may still qualify if the client explicitly names the affiliate.

  • Cookies uses as part of the affiliate tool have a set duration.  If a potential client clears their cookies during this period and does not name you as a referral partner, Tall Oak Advisors shall not be liable for any commissions that may have been owed to you.





4. Payout Structure and Thresholds



  • Commission Rate: Affiliates earn 10% of collected fees, including recurring payments for bookkeeping, for up to 12 months from the client’s first sale.

  • Payout Schedule: Commissions are paid monthly, provided the affiliate meets the $100 minimum threshold. Payments are subject to a 30-day delay to allow for calculations and adjustments.

  • Minimum Threshold: Payments are issued only when commissions reach $100.

  • Tax Client Commission Criteria: Commissions for tax clients are paid only after the tax return is completed and submitted to the IRS.

  • Adjustments: Commissions may be adjusted for refunds, chargebacks, or discounts applied to client invoices.

  • Payment Method: Commissions are paid via PayPal in USD.  You are responsible for payment of all taxes and fees (including bank fees) applicable to the Commission.

  • Valid PayPal Account: Affiliates must ensure they have entered the correct PayPal email address to which they want to receive payouts. Once a payout has been sent, no corrections can be made, and affiliates will not be reimbursed for any funds sent to an incorrect address provided by Affiliates.





5. Marketing Guidelines


Affiliates must follow these rules when promoting Tall Oak Advisors:

  • Prohibited Methods:

    • PPC campaigns targeting branded terms like "Tall Oak Advisors" or variations.

    • Misleading or false claims about services.

    • Email spam or unsolicited messaging.

    • Unauthorized use of Tall Oak Advisors’ branding, logos, or trademarks.

    • Deceptive clickbait or cookie stuffing.

    • Promotion on inappropriate sites, such as those featuring adult content, gambling, or illegal activities.



  • Self-Referrals: Affiliates cannot refer themselves and will not receive commissions on their own accounts.

  • Violations are determined at the discretion of Tall Oak Advisors and may result in immediate termination.





6. Affiliate Obligations


Affiliates must:

  • Comply with FTC Endorsement Guidelines:

    • Clearly disclose your affiliate relationship when promoting Tall Oak Advisors.

    • Use language such as “This is an affiliate link” or similar disclosures in blog posts, social media posts, or other promotional materials.

    • Ensure transparency and honesty in all marketing efforts.



  • Use ethical marketing practices and maintain accurate contact information.

  • Represent Tall Oak Advisors professionally and in good faith.





7. Termination Policy


Tall Oak Advisors reserves the right to terminate affiliates without notice for:

  • Violating these terms.

  • Engaging in unethical or prohibited practices.


Unpaid commissions will be forfeited upon termination.



8. Use of Affiliate Data


Tall Oak Advisors may use affiliate data (e.g., performance stats, promotional strategies) internally to improve the program. Data will not be shared externally without consent.



9. Liability


Tall Oak Advisors is not liable for indirect or accidental damages, including but not limited to:

  • Loss of revenue, commissions, or data.

  • Affiliate tracking failures.

  • Loss of database files.

  • Any harm to the Program or website(s), intentional or otherwise.





10. Disputes and Jurisdiction


This agreement is governed by the laws of the state of North Carolina. Any disputes arising from participation in the affiliate program will be resolved within this jurisdiction.  In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.



11. Disputes and Jurisdiction


Affiliate shall indemnify and hold harmless Tall Oak Advisors, officers, directors, employees, licensees, successors, and assigns, including those licensed or authorized by Tall Oak Advisors to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.



12. Amendments and Changes

Tall Oak Advisors reserves the right to modify these terms at any time. Affiliates will be notified of significant changes via email or dashboard notification. Continued participation constitutes acceptance of any changes.
